General Terms and Condition

1. General Provisions
1.1. This website is owned and operated by Xfelgi.pl Michał Kiełkiewicz, with its registered office at ul. Piotrkowska 4C, 97-330 Poniatów, Poland, VAT ID: PL7712694942, REGON: 360029306 (hereinafter referred to as the „Seller”).
1.2. These Terms and Conditions govern the use of the website and the commercial relationship between the Seller and professional business entities („Dealers” or „Buyers”).
1.3. This website is strictly Business-to-Business (B2B) and informational. By accessing the website or the Dealer Area, you confirm that you are acting as a professional business entity.
2. Intellectual Property & Website Use
2.1. All content on this website, including designs, images, technical data, logos, and the wheel configurator, is the exclusive property of the Seller.
2.2. Dealers are granted a limited right to use product images and descriptions solely for the purpose of promoting and reselling the Seller’s products, provided the brand identity remains unchanged.
2.3. The Seller strives for accuracy but does not guarantee that the website information is free of errors. Use of the website is at the Buyer’s own risk.
3. Confidentiality
3.1. The Buyer agrees to keep all commercial and technical details that are not public knowledge, which become known to them through the business relationship, confidential as business secrets.
3.2. This includes, in particular, wholesale price lists, discount structures, and dealer-specific portal access data.
4. Contract Formation
4.1. Product displays on the website do not constitute a legally binding offer but rather an invitation to treat. A contract is only legally formed when the Seller provides a written confirmation of the order.
5. Prices and Delivery Terms
5.1. All prices listed in the Dealer Area are net prices (excluding VAT and shipping costs) in EUR/PLN.
5.2. Delivery Time: Standard shipping usually occurs within 2-5 business days. However, depending on the season and order volume, the shipping time may be extended up to 10 business days. The Seller will inform the Buyer of any significant delays.
5.3. Deliveries are handled according to EXW or DAP Incoterms 2020. Risk of loss passes to the Buyer once the goods are handed to the carrier.
6. Retention of Title
6.1. All delivered goods remain the exclusive property of the Seller until full payment for all outstanding claims arising from the business relationship has been received.
6.2. The Buyer is prohibited from pledging the goods as collateral to third parties until they are fully paid for.
7. Mandatory Damage Protocol
7.1. MANDATORY RULE: Any transport damage must be documented via a Damage Protocol signed by the driver/courier at the moment of delivery. Claims without a signed protocol will be rejected without exception.
8. Warranty and the „Pre-Mount” Rule
8.1. The Buyer is strictly required to check the fitment of the wheels on the vehicle BEFORE mounting tires. Warranty claims regarding visual defects or fitment issues are strictly void once tires have been mounted onto the wheels.
8.2. Warranty: 2 years.
9. Force Majeure
9.1. Events of force majeure, such as strikes, administrative orders, or transport disruptions for which the Seller is not responsible, shall extend the delivery periods by the duration of the disruption.
10. Final Provisions
10.1. Governing Law: These Terms shall be governed exclusively by the laws of Poland.
10.2. Jurisdiction: Any disputes shall be settled by the court having jurisdiction over the Seller’s registered office.
